MERGERS & ACQUISITIONS (M&A)

The course will begin with an evaluation of the business rationale for M&As and a discussion of the various types of transactions and related terminology. The regulatory issues surrounding these transactions will be analysed through examination of the applicable laws and regulations. The course adopts an nternational comparative perspective, with greater focus on the U.S., U.K. and Singapore. While corporate and securities law issues form the thrust, incidental reference will be made to accounting, tax and competition law considerations. inally, the transactional perspective will consider various structuring matters, planning aspects, transaction costs and impact on various stakeholders.
NUS Compulsory Core Curriculum or its equivalent..
Must not have taken a substantially similar course. Not open to students who have taken/taking LL4223/LL5223/LL6223 Cross Border Mergers. Not open to students who have taken Mergers and Acquisition (M&A).
